Terms of Service
Last updated — May 2026
1. Who we are
Alderic Partners (“we”, “us”) provides web design, branding, and digital marketing services for Australian businesses.
Operated by Alderic Partners Pty Ltd (ACN 696 812 094, ABN 12 696 812 094). Contact: hello@aldericpartners.com.
2. What we provide
Our services include:
- Website design and development.
- Branding and visual identity.
- Digital marketing, including SEO and social media.
- Domain registration and hosting (where agreed as part of a project).
The scope, deliverables, and price for each engagement are confirmed in writing (by email or proposal) before work begins.
3. Engagement and pricing
We provide a fixed-price quote for each project based on what you need. No work begins until you accept the quote in writing.
If the scope changes during a project, we will discuss the change with you and confirm any adjusted pricing before proceeding.
All prices are in AUD and include GST unless stated otherwise.
4. Payment
- Payment terms are set out in your quote or proposal.
- Invoices are due within 14 days of issue unless otherwise agreed.
5. Your responsibilities
You must:
- Provide accurate business details during onboarding.
- Provide content, logos, images, and other materials we need to complete the work.
- Give timely feedback and approvals when we share drafts or deliverables.
- Make sure anything you provide to us (text, images, trademarks) is yours to use.
- Use any website, hosting, or services we provide for lawful purposes only.
- Not use our services to spam, harass, or impersonate.
- Keep login credentials for any accounts we set up on your behalf secure and notify us immediately if you believe an account has been compromised.
6. Intellectual property
Here’s how content ownership works:
- Any content you provide (logos, photos, text) remains yours.
- Design and content we create for your project — including website code, copy, and visual assets — is yours to keep once the project is paid in full.
- We retain rights to our internal tools, templates, and proprietary systems. Your licence to use them is included as part of the deliverables but does not extend to resale or redistribution.
- We may include your project in our portfolio unless you ask us not to.
7. Domain names
If we register a domain on your behalf as part of a project:
- To keep things simple, we register the domain in our name and cover the first year’s cost so you don’t have to deal with registrars or DNS settings.
- You can request a transfer of the domain to your own name at any time — including after the engagement ends.
- If you are on an ongoing plan that includes domain renewal, the renewal is covered at no extra cost.
- If the engagement ends without a transfer request, the domain stays live until the end of the paid period and is not renewed.
8. Hosting
If hosting is included in your engagement:
- We will host your website for the period agreed in your proposal. After that period, hosting continues only under a paid arrangement.
- We aim for high availability but do not guarantee uninterrupted service.
- You can request a copy of your website files at any time.
9. Cancellation
You can cancel anytime. Here are the details:
- You can cancel anytime by emailing hello@aldericpartners.com.
- If you cancel a project after work has begun, you are responsible for payment for work completed up to that point.
- If we cancel, we will deliver all completed work and refund any fees paid for work not yet performed.
- There are no fees or penalties for cancelling.
- No refunds are provided for work already completed. This does not affect any rights you may have under the Australian Consumer Law (see Section 11).
10. Suspension and termination by us
We may suspend or end an engagement if you:
- Breach these terms and do not fix the issue within 7 days of us notifying you.
- Use the services for unlawful purposes, spam, harassment, or impersonation.
- Engage in conduct that is unlawful, fraudulent, or materially harmful to Alderic Partners or our other clients.
For the first ground, we will notify you and give you 7 days to fix the issue before taking action. For the second and third grounds, we may act immediately.
If we suspend or end an engagement, we will notify you at the email on file with the reason. You can request a copy of any completed work within 30 days.
11. Liability
Nothing in these terms excludes, restricts, or modifies any guarantee, right, or remedy you may have under the Competition and Consumer Act 2010, including the Australian Consumer Law, or any other law that cannot be excluded, restricted, or modified by agreement.
Subject to the above, our services are provided “as-is” and we are not liable for:
- Downtime or service interruptions caused by third-party hosting or infrastructure providers.
- Content you publish on a website we build. You are responsible for the accuracy and legality of your own content.
We do not guarantee any specific business outcome, including increased enquiries, leads, revenue, or search rankings.
To the maximum extent permitted by law, we are not liable for any loss of profits, revenue, business opportunities, data, or goodwill, or any indirect, consequential, incidental, or punitive damages arising from your use of our services.
Our total liability for any claim arising under these terms is capped at the fees you paid us for the relevant project.
12. Indemnity
You agree to indemnify Alderic Partners from any claims, losses, or expenses arising from:
- your breach of these terms;
- your misuse of the services (including spam, harassment, or impersonation); or
- content you provide or publish that infringes a third party’s rights.
13. Events outside our control
We are not liable for delays or failures caused by events outside our reasonable control (e.g. natural disasters, internet outages, third-party service failures).
14. Dispute resolution
If you have a complaint about our services, contact us at hello@aldericpartners.com. We will try to resolve it within 14 business days. If we can’t resolve it together, either party may pursue the matter through the Victorian Civil and Administrative Tribunal (VCAT) or a court of competent jurisdiction.
15. Changes to these terms
We may update these terms. We will notify you at the email on file at least 30 days before material changes take effect. If you do not agree with the changes, you may end the engagement before they take effect.
16. Governing law
These terms are governed by the laws of Victoria, Australia. The courts and tribunals of Victoria have jurisdiction.
17. Entire agreement
These terms, together with our Privacy Policy and any project proposal or quote you accept, form the entire agreement between you and Alderic Partners. They replace any prior discussions, promises, or representations.
18. If part of these terms is invalid
If any part of these terms is found to be invalid or unenforceable, the remaining parts continue in full force.
